Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and SPOT (“we,” “our,” or “us”) governing your use of the SPOT mobile application, the spot-guide.com website, and any related services (collectively, the “Service”).

By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13 years old (or at least 16 if you reside in the European Economic Area) to use the Service. By using the Service, you represent that you meet this requirement and that any registration information you submit is accurate.

You are responsible for your account and everything that happens under it. Keep your credentials secure, and notify us promptly if you suspect unauthorized access.

You may delete your account at any time from Settings within the App. Deleting your account permanently removes your personal information from our servers as described in our Privacy Policy.

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use, subject to these Terms. We reserve all rights not expressly granted.

SPOT lets you post content: reviews, photos, spot nominations, rankings, guides, curated lists, and profile information (“User Content”).

SPOT has zero tolerance for objectionable content and abusive users.

You may not post or share content that:

• ·Is defamatory, harassing, threatening, or bullying toward any person or business
• ·Is obscene, pornographic, or sexually explicit
• ·Promotes violence, discrimination, or hatred against any person or group
• ·Is false, deliberately misleading, or fraudulent — including fake reviews or reviews of places you have not visited
• ·Infringes any copyright, trademark, or other proprietary right
• ·Contains spam, commercial solicitation, or promotion of a business you own or work for without disclosure
• ·Contains another person’s private information without their consent
• ·Is illegal or promotes illegal activity

The App provides tools to report any content you believe violates these standards and to block any user. We review reports and act on objectionable content within 24 hours — including removing the content and ejecting the user who provided it.

We may, at our discretion and without prior notice, remove or refuse to display any User Content, and suspend or terminate any account, that we reasonably believe violates these Terms or puts the community, the Service, or third parties at risk. We are not obligated to pre-screen content, but we reserve the right to do so.

You agree not to:

• ·Impersonate any person or misrepresent your affiliation with any person or business
• ·Use the Service to advertise or solicit without our written consent
• ·Scrape, harvest, or bulk-extract data from the Service, or access it by automated means
• ·Reverse engineer, decompile, or attempt to extract the source code of the App
• ·Interfere with or disrupt the Service, its servers, or its security features
• ·Circumvent a block, ban, or other enforcement action

SPOT provides information about restaurants and food spots — hours, locations, menus, and recommendations — for general guidance only. Places close, hours change, and dishes come off the menu. We do not guarantee the accuracy, completeness, or timeliness of any listing, and we are not affiliated with, endorsed by, or responsible for any restaurant or business listed in the Service. Recommendations reflect the opinions of the people who wrote them.

The Service displays content and data from third parties, including Google Maps and Google Places (place data and photos), YouTube (embedded videos), and links to social platforms such as TikTok and Instagram. Your use of that content is subject to those parties’ own terms. We are not responsible for third-party content or services.

The Service — including the SPOT name, logo, design, editorial content, and software — is owned by SPOT or its licensors and protected by intellectual property laws. You may not use the SPOT name or marks without our prior written permission.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Sections 5.2, 9, and 13 through 16 survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US$50) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

You agree to indemnify and hold SPOT harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or of any third-party right.

If you downloaded the App from the Apple App Store, the following additional terms apply:

• ·These Terms are between you and SPOT only — not with Apple Inc. (“Apple”). Apple is not responsible for the App or its content.
• ·Your license to the App is limited to a non-transferable license to use it on Apple devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• ·Apple has no obligation to provide maintenance or support for the App.
• ·In the event the App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• ·Apple is not responsible for addressing any claims relating to the App, including product liability, legal or regulatory compliance, and consumer protection claims.
• ·In the event of any third-party claim that the App infringes intellectual property rights, SPOT — not Apple — is responsible for the investigation, defense, settlement, and discharge of the claim.
• ·You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
• ·Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

We may update these Terms from time to time. When we do, we will revise the effective date above, and for material changes we will notify you through the App or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles. Nothing in this section deprives you of mandatory consumer protections under the laws of the place where you live.
